How can a SPAC sponsor raise its at-risk capital as a token — and which company form fits?

Before a SPAC lists, its sponsor puts up several million dollars that are lost if no deal follows. That raise can run on-chain: a company that issues its shares as tokens, a contract that limits what may be spent without a vote, and idle cash earning interest in a tokenized money fund. These are the steps.

The short answer

  • A SPAC sponsor needs several million dollars before the IPO — for the underwriter, lawyers, listing and the warrants that top up the trust. That money can be raised as a token.
  • The vehicle is a company formed to hold the sponsor stake; its shares or membership interests are the token. With many holders it should be taxed as a corporation, so nobody receives a partnership K-1.
  • The contract: deposits in USDC from verified wallets only, a minimum and maximum raise, a refund if the minimum is missed, at most 5% spendable without a vote, everything else released by majority.
  • Idle money earns interest in a tokenized government money fund — the same kind of fund the SPAC trust can later hold.

What the contract enforces

RuleWhy
Only verified wallets can depositThe raise is a private placement: in the US typically accredited investors under Reg D 506(c), non-US persons under Reg S.
Minimum and maximum raise, with a deadlineSized to the SPAC — typically $5–10 million of at-risk capital.
Minimum missed: every depositor can withdrawNo one is left holding a share of a vehicle that cannot do its job.
At most 5% spendable without a voteCovers counsel and placement up front, to a multisig named in the governing documents.
Everything else only by token-holder voteProposal, voting period, quorum, majority — then payment to a named address for a named purpose, such as the SPAC’s IPO costs.
No SPAC IPO: the rest is paid back pro rataBy vote, or automatically after a set date.

Which company form

FormWhy it fitsWhat to watch
Corporation (e.g. Delaware)The form investors, underwriters and counsel know best. Shares as tokens, no K-1s.Token voting lives in the bylaws and the contract; the corporate law itself does not mention it.
LLC taxed as a corporationFlexible operating agreement that can tie decisions to the contract. Wyoming even has a legal form made for this: the DAO LLC (since 2021), whose articles name the smart contract, so a token vote is a decision of the company.Without the corporate tax election (Form 8832) an LLC with several members is a partnership — a K-1 for every token holder.
Offshore company (e.g. Cayman Islands)Common for SPACs with non-US targets and for investors outside the US.Higher fees, local registered office, and its own substance and fund rules to check.

Setting up the vehicle in seven steps

  1. 1

Choose the company form and where to form it

A corporation, an LLC taxed as a corporation, or an offshore company — compared below. What matters: holders get shares rather than partnership interests, and the governing documents can refer to the contract.

  2. 2

    Form the company

File the formation documents, appoint a registered agent, and name the token and the contract address in the governing documents. Change them whenever the contract address changes.

  3. 3

Write the governing documents around the contract

Bylaws or operating agreement set the 5% budget, quorum, majorities, the multisig and how the vehicle winds down — and say that votes through the contract bind the company.

  4. 4

    Register for tax

A US tax number (EIN) for a US company; for an LLC, the election to be taxed as a corporation. A foreign-owned US company files yearly returns — missing them is expensive.

  5. 5

Open a bank account and a multisig

A business account for fiat costs, a multisig wallet for the company, and registration of that multisig with the money fund that will hold idle cash.

  6. 6

    Prepare the private placement

Offering memorandum, subscription terms and investor verification — in the US under Reg D 506(c) with a Form D filed within 15 days of the first sale, outside the US under Reg S and the rules of each investor’s country.

  7. 7

    Deploy the contract

Testnet first, then an independent audit, then mainnet with the address the governing documents name.

What it costs

The state fees are small; the money goes to counsel and the contract audit. Rough ranges:

ItemOne-offYearly
Formation and registered agent (US state)~$200–1,000~$150–600
Formation and registered office (Cayman)~$5–10k~$4–8k
Tax returns and filings—~$500–1,500
Counsel for the governing documents~$2–10k—
Private placement documents~$15–50k—
Smart contract audit~$10–30k—

Questions

Can SPAC sponsor capital be raised with a token?

+

Yes. A company formed to hold the sponsor stake issues its shares as tokens in a private placement — to accredited investors in the US and non-US investors under Reg S. A contract holds the deposits and releases them by the rules in the governing documents.

Which company form fits a tokenized sponsor vehicle?

+

One whose holders are shareholders for tax purposes: a corporation, or an LLC that has elected to be taxed as one. Delaware is the most familiar to investors; some states have LLC forms built around smart contracts; offshore companies suit non-US investor bases. Counsel picks it with the SPAC’s own domicile in mind.

Is there a legal form made for token-governed companies?

+

Yes — Wyoming’s DAO LLC, in force since 2021. The articles carry “DAO” in the name and a public identifier of the smart contract, and the company can be run through it. Like any LLC with many holders, it should elect to be taxed as a corporation. Wyoming lists a year without any approved proposal or action as a ground for dissolution, so the governing documents should plan regular votes.

Do token holders get a K-1?

+

Not if the vehicle is a corporation or an LLC that elected corporate taxation with Form 8832. An LLC with several members and no election is a partnership, and every holder would receive a K-1 each year.

Where does the SPAC itself sit?

+

In practice in Delaware or the Cayman Islands, because underwriters, exchanges and target companies expect it. The sponsor vehicle can be formed elsewhere.

What happens to the money before the SPAC IPO?

+

It earns interest. The company’s multisig holds a tokenized US government money fund — Franklin Templeton’s BENJI or WisdomTree’s WTGXX — the same kind of fund the SPAC trust can hold later.

What is the risk for token holders?

+

The same as for any SPAC sponsor: if the SPAC finds no deal, the at-risk capital spent on the IPO is lost and the founder shares are forfeited. The upside is the sponsor promote, typically 20% of the SPAC’s shares.
